Agreement to Terms

Eligibility

If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

Payment Terms

• Fees will be specified in service agreements, proposals, or invoices
• Payment is due according to the terms specified in each agreement
• All fees are non-refundable unless otherwise stated
• We may suspend Services for overdue payments
• You are responsible for all applicable taxes

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. Confidential information includes, but is not limited to:

• Technical information and trade secrets
• Pricing and terms of our agreement

This confidentiality obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY CONTENT

We do not guarantee any specific results from using our Services. Results depend on many factors outside our control, including your implementation, market conditions, and business circumstances.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GTM ENGINEERING SERVICES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use our Services
• Any damages arising from Third-Party Services

Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless GTM Engineering Services and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms

Termination

We may terminate or suspend your access to our Services at any time, with or without cause, with or without notice. You may terminate your use of our Services at any time by discontinuing use and, if applicable, canceling any active subscriptions or engagements.

Upon termination:

• Provisions that should survive termination will remain in effect (including intellectual property, disclaimers, limitation of liability, and indemnification)
• We may delete your account and associated data after a reasonable period

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our Services shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to resolve any disputes informally
• Jurisdiction: Any legal action shall be brought exclusively in the state or federal courts located in New York
• Waiver of Jury Trial: Both parties waive the right to a jury trial for any disputes arising from these Terms

Miscellaneous

Entire Agreement

These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and GTM Engineering Services regarding the subject matter hereof.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, or government actions.
